An external audit also referred as independent audit is an independent examination of an entity's financial statements by an auditor outside the business, to issue a formal opinion on whether those statements give a true and fair view or present fairly the state of affairs of the Company.

The statutory audit UAE law requires is the most common form, mandated by the Commercial Companies Law and by most free zone authorities at licence renewal. Since Ministerial Decision No. 84 of 2025, audited statements are also required from taxable persons above AED 50 million in revenue and from every Qualifying Free Zone Person.

External audit and internal audit

An external audit is performed by an independent firm and produces an opinion for third parties; an internal audit is performed for management or on behalf of management and reports on controls and process rather than on the financial statements.

An auditor must be free of any relationship that threatens objectivity, which is why the same firm cannot both prepare and audit a set of accounts. Internal audit findings inform management; annual audit findings inform banks, registrars and the tax authority.

This is because key audit information—such as external confirmations, related-party reconciliations, and consolidation workings—is typically prepared and available in advance, resulting in a smoother and faster audit process.
